IECE BOARD OF DIRECTORS
BOARD MEMBER ROLE & RESPONSIBILITES

The Board of Directors is the sole governing body of IECE and is responsible for the
supervision, control and direction of the Society including the appointment and removal of the senior officers. The Board has fiduciary responsibility and is accountable to the membership for the success of the organization.

All directors are charged to serve in the best interests of the entire membership of the
international association. They are committed to the development and
implementation of IECE s vision and mission.

Each director on the Board serves as a leader in motivating support for IECE s mission and programs. A Director should provide an objective point of view in open discussion on issues affecting the membership. He or she would thoroughly analyze each problem
considered, vote responsibly, and support those actions adopted by majority vote.

Individually, each member of the Board is considered an ambassador for IECE and represents the integrity, dedication, and loyalty to IECE s mission. Directors will have outstanding qualifications, an unselfish dedication and willingness to serve in the promotion, advocacy and Education of Ethics in Engineering. Board Members serve in an entirely voluntary capacity.

Key Responsibilities:

Each individual Board member leads, advises and supports the mission of IECE by:

Supporting the President in achieving the vision and mission of IECE.

Attending (in person or by phone) and actively participating at all board meetings to further the success of the IECE and to support the IECEs mission and goals.

Contribute and respond to draft documents and the development of learning modules for an Engineering Ethics Body of Knowledge.  

Assuming responsibilities for specific projects either by volunteering and/or as requested
by the President, such as serving on Board committees, serving as liaisons to other
organizations, representing the IECE at meetings, or preparing issue reports and
statements.

Remaining current with the activities of the Association by following its publications,
website, issues, and initiatives.

Informing the Board of new developments or issues and staying proactive in helping
position the IECE to achieve annual work programs and best support its members.

Representing the IECE to media or at industry events as assigned by the President.

Regularly attending and actively participating in IECE programs.

Key Responsibilities: Continued

With other Board members, helping to set, approve and manage the IECE program of activities.

Foregoing personal interests in support of actions that are for the good of IECE.

Supporting decisions made by the President.

Assisting the Nominations Committee in recruiting new directors and officers.

Facilitating the integration of new directors to the Board.

Actively recruiting new members and volunteers.

Assisting in obtaining new sponsorships, corporate support and/or revenue.

Thoroughly researching and completing assignments in a timely manner.

Reviewing financial, reports and materials, as assigned.

Monitoring and alerting the Board to trends and ideas relating to the IECE membership.

Characteristics of Directors Length of Term: Two Years

Directors serve at the pleasure of the President and Chairman of the Board of Directors, and s/he will be able to demonstrate the following capabilities and have experience in
the following areas:

1. Knowledge of Engineering issues related to Engineering Ethics.
2. Currently an IECE member in good standing.
3. Interest, enthusiasm and commitment to IECE mission, vision, and goals.
4. Previous volunteer leadership or Board experience.
5. Previous volunteer experience in IECE.
6. Strong record of participation in IECE activities and programs.
7. Ability to work effectively as a team member within the Board of Directors.
8. Ability to fulfill the time and (possible) travel commitments.

Expenses: Expenses related to participation in Board meetings, IECE Programs and Conferences, and other IECE events are the responsibility of each Board member or Officer (or their company). IECE will cover expenses for the official IECE representative (President, or assigned Board member) to attend events or meetings outside the required Board meetings or events. Board member expenses for these events will be covered only if pre-approved in writing by the President.

Confidentiality: Each member of the IECE Board of Directors is required to sign a
Confidentiality Agreement before taking office as a condition of the role.
